Hi All,

BT are piloting a scheme called VizzitMe. They are giving "free" webcams and headsets for groups of 2-6 friends or relatives, who all have an ADSL broadband internet connection (ie not broadband from a cable TV company). There is more information at

To take part in a trial for VizzitMe, all you need is a broadband connection and a suitable PC plus a group of friends or relatives who have the same (min 2, max 6). If you`re accepted we`ll send you and the first two of your friends the webcam/headset kit. One other friend will get a free headset & the others will need to supply their own equipment - though the service is still free.

All we ask from you in return is that you have fun using VizzitMe and all let us know what you think of it through short on-line questionnaires or feedback sessions that we will arrange. Plus, you could WIN your dream Vizzit worth £2000 in our exclusive prize draw!

TRIAL AGREEMENT FOR VizzitMe

COMMERCIAL & IN CONFIDENCE

"BT" British Telecommunications plc registered office 81 Newgate Street London EC1A 7AJ Company Number 1800000; and

AND

the "Trialist" as described below.

INTRODUCTION

A. BT wishes to conduct a marketing and commercial trial of a new software application for the purposes of evaluating its intuitiveness and attractiveness in a live environment.

B. the Trialist has agreed to take part in such a trial on the conditions of this trial Agreement.

DEFINITIONS

BT means British Telecommunications plc of 81 Newgate Street, London, EC1A 7AJ, registered in England No. 1800000.

BT Equipment means any equipment (including any software) placed on or within a Site for the provision of the Service.

BT Group Company means a BT subsidiary or holding company, or a subsidiary of that holding company, all as defined by Section 736 of the Companies Act 1985 as amended by the Companies Act 1989.

DGT means the Director General of Telecommunications.

Service means the VizzitMe application that gives end users the ability to hold a video conference with up to 3 other people taking the Service using PC to PC as the visual/audio medium and broadband as the method of communication.

Site means the place at which BT agrees to provide the Service (usually a Trialist's place of residence).

Trial means a marketing and commercial trial of the Service to test its intuitiveness and usefulness to end users.

Trial Agreement means the Terms and Conditions of this Agreement, including any Schedules, registration forms and parental consent forms.

Trialist means a person(s) who takes or uses the Service (in any form including, activation of the Service and ) from BT at a Site.

Trial Period means the period from 2nd February 2004 to 31st March 2004.

1. COMMENCEMENT

This Trial Agreement commences from the moment the Service is activated, (for the avoidance of doubt, this shall mean either installing BT Equipment (including downloading BT provided software) and will continue until the end of the Trial Period unless terminated earlier by BT under the terms of this Trial Agreement.

2. Provision of the Service for the trial

2.1 BT agrees to provide the Trialist with the Service on the conditions of this Trial Agreement.

2.2 BT will use reasonable endeavours to provide the Service by the date agreed with the Trialist but all dates are estimates and BT has no liability for any failure to meet any date.

2.3 BT will provide the Service with the reasonable skill and care of a competent telecommunications service provider.

2.4 As the Service is still in its development phase no warranty or undertaking is given that the Service will perform satisfactorily or that it will be made available for further use (or made commercially available) after the Trial Period.

2.5 BT will use reasonable endeavours to maintain the Service for the period of the Trial, the Trialist acknowledges this and accepts that failures of the Service caused by technical or other faults will from time to time occur. The Trialist also accepts that there may be degradation of Service from time to time. If the Trialist experiences any such difficulties with the Service the Trialist should contact the Vizzit Me Helpdesk on 0800 040 7714

2.6 Occasionally BT may:

(a)for operational reasons, change the codes or the numbers allocated to the Trialist or the technical specification of the Service; or

(b)suspend the Service for operational reasons such as maintenance or because of an emergency; or

(c)give the Trialist instructions which it believes are necessary for reasons of health, safety or the quality of any telecommunication service provided by BT to the Trialist.

Before doing so, BT shall endeavour to give the Trialist as much notice as possible.

2.7 If BT makes any change in the Service this Trial Agreement is to be treated as varied accordingly. BT will endeavour to give the Trialist as much notice as possible before doing so.

2.8 The Trialist must have and maintain for the duration of the Trial Agreement; (i) a contract (whether with BT or a third party) for the use of a BT provided analogue direct exchange line (only required for broadband), which terminates on a master socket forming part of the BT Network, and (ii) a contract (whether with BT or a third party) for the use of a broadband service provided over that same exchange line. The broadband service should have a minimum transmission speed of 512KB's per second. If any of the conditions of this clause 2.8 are not met at any time during the Trial Period, BT reserves the right to cease the Service to the Trialist.

2.9 Responsibility and liability for the delivery and/or connection of any equipment belonging to the Trialist (including BT equipment) rests with the Trialist.

2.10 The Trialist agrees to only use the Service on only 1 Personal Computer ('PC') and at only 1 Site at any time. If the Trialist wishes to change the Site or use an alternative PC, it will not do so without first notifying BT of its intention to do so, and receiving written authorisation from BT permitting this change to take place.

2.11 All costs for participating in the Trial (excluding BT equipment and potential travelling expenses to focus groups) shall be borne by the Trialist.

2.12 For the duration of the Trial no charges will be raised for the use of the Service.

3. Trial Data Collection

3.1 The Trialist will, both during and after the Trial complete all questionnaires or other documents BT may send to the Trialist concerning the Service, and will participate in such interviews and discussion groups, and provide BT with such information about the Service, as BT may reasonably require, to enable BT to evaluate the development of the Service.

3.2 Any technical or marketing information, hard disc copies, processes or intellectual property rights arising as a result of the Trial or during the development of the Service, belong to BT and nothing in this Trial Agreement shall be construed so as to prevent BT from using techniques, ideas and other know-how gained during the performance of this Trial in the furtherance of its business, to the extent that this does not result in a disclosure of confidential information, or an infringement of any intellectual property right of the Trialist.

3.3 During the Trial Period, the Trialist is permitted to use the Service as much as they like.

3.4 During the Trial Period the Trialist agrees to complete the Vizzit Me questionnaire on-line. The Trialist may also be requested to attend a focus group. The focus group shall be conducted during Trial Period.

3.5 The results of the Trial belong to BT and BT has no obligation to publish the results to anyone.

4. Post Trial

4.1 BT gives no undertaking as to the extent or duration of the Trial or that after conclusion of the Trial the Service will be made commercially available. Any commercially available service after this Trial will be subject to the then current Terms & Conditions and any other restrictions on availability.

5. BT EQUIPMENT

5.1 The Trialist is responsible for the BT Equipment and must not add to, modify or in any way interfere with the BT Equipment nor allow anyone else (other than someone authorised by BT) to do so.

5.2 At the conclusion of the Trial the Trialist can keep the BT equipment but will, if relevant, return any software to BT and warrants to uninstall any software provided by BT for the purposes of the Trial.

6. CONNECTION OF EQUIPMENT TO THE SERVICE

6.1 Any equipment connected to or used with the Service must be connected and used in accordance with any instructions, safety and security procedures applicable to the use of that equipment.

6.2 Any equipment that is attached (directly or indirectly) to the Service must be technically compatible with the Service and approved for that purpose under any relevant legislation.

7. ACCESS AND SITE REGULATIONS

7.1 If the Trialist requests BT's assistance, and therefore to enable BT to carry out its obligations under this Trial Agreement, the Trialist will provide BT, and anyone acting on BT`s behalf, who produces a valid identity card, with access to any Site and any other premises outside BT's control, at an agreed time.

7.2 The Trialist will provide a suitable and safe working environment for BT and anyone acting on BT`s behalf.

8. SECURITY

8.1 The Trialist is responsible for the security and proper use of all user ID's and passwords used in connection with the Trial and/or Service unless permitted to or instructed to by BT and must take all necessary steps to ensure that they are kept confidential, secure, used properly and not disclosed to unauthorised people. The Trialist will not change or attempt to change any passwords or I.Ds.

8.2 The Trialist must immediately inform BT if there is any reason to believe that a user ID or password has or is likely to become known to someone not authorised to use it or is being or is likely to be used in an unauthorised way.

8.3 BT reserves the right to suspend user ID and password access to the Service if at any time BT considers that there is or is likely to be a breach of security.

8.4 The Trialist must immediately inform BT of any changes to the information the Trialist supplied when registering for the Trial and/or Service.

8.5 BT will maintain the security of the Trialist's information stored on the BT servers to the extent reasonably practicable.

9. USE OF SERVICE

9.1 The Trialist warrants that they will comply with all consumer and other legislation, instructions or guidelines issued by regulatory authorities, relevant licences and any other codes of practice which apply to the Trialist or of which BT informs the Trialist.

9.2 The Service must not be used:

(a) fraudulently or in connection with a criminal offence;

(b) to send, transmit, receive, upload, download, use or re-use any material which is offensive, abusive, indecent, defamatory, obscene or menacing, or in breach of confidence, copyright, privacy or any other rights;

(c) in breach of any instructions BT has given under clause 2.6 (c);

(d) to cause annoyance, inconvenience or needless anxiety; and

(e) to send or provide or receive unsolicited advertising or promotional material.

9.3 If the Trialist or anyone else, with or without the Trialist's knowledge or approval, uses the Service in contravention of clause 9.2 above BT can treat such contravention as a material breach of this Trial Agreement which cannot be remedied for the purposes of clause 17.

9.4 The Trialist must tell BT immediately if any third party makes or threatens to make any claim or issue legal proceedings against the Trialist relating to their use of the Service and the Trialist will, at BT's request, immediately stop the act or acts complained of. At BT's request the Trialist must confirm the details of the claim(s) in writing.

9.5 BT may suspend the Service immediately without notice, if BT has reason to believe that the Service is being used in connection with the carrying out of a fraud or a criminal offence against BT, or any other public telecommunications operator.

10. RESTRICTIONS ON USE

10.1 The Service is provided solely for the use of the Trialist. The Trialist must not resell or attempt to resell the Service (or any part or facility of it) to any third party.

10.2 BT may provide, as part of the Service, the Trialist with applications, data, information, video, graphics, sound, music, photographs, software or any other material. BT changes this content regularly (and reserves the right to do so) and therefore the content made available will change from time to time.

10.3 BT provides the content to the Trialist only to be used for and by the Trialist for its own purposes and this content is protected by copyright, trademark and other intellectual property rights. BT does not permit the Trialist to copy, store, adapt, modify, transmit, distribute, play or show in public, broadcast or publish any part of the content.

10.4 BT does not and cannot guarantee the accuracy or completeness of the content. The Trialist acknowledges and accepts that it accesses and uses the content (for whatever purpose) at their own risk.

10.5 Some content may have its own terms and conditions. Accessing this additional content may require the Trialist to accept and/or comply with those terms and conditions.

11. INTELLECTUAL PROPERTY RIGHTS

11.1 Where software is provided to enable the Trialist to use the Service, BT grants the Trialist a non-exclusive, non-transferable licence for the duration of the Trial to use the software for that purpose.

11.2 The Trialist will not without BT's prior written consent, copy or (except as permitted by law) decompile or modify the software, nor copy the manuals or documentation.

11.3 The Trialist will sign any agreement required by the owner of the copyright in the software to protect the owner`s interest in that software.

11.4 The Trialist must not transfer, assign or sub-license their right to use the software or attempt to do so.

12. INTELLECTUAL PROPERTY RIGHTS INDEMNITIES

12.1 BT will indemnify the Trialist against all claims and proceedings arising from infringement of any intellectual property rights by reason of the Trialist's use of the Service. As a condition of this indemnity the Trialist must:

(a) notify BT promptly in writing of any allegation of infringement;

(b) make no admission relating to the infringement;

(c) allow BT to conduct all negotiations and proceedings and give BT all reasonable assistance in doing so (BT will pay the Trialist's reasonable expenses for such assistance); and

(d) allow BT to modify the Service, or any item provided as part of the Service, so as to avoid the infringement.

12.2 The indemnity in clause 12.1 does not apply to infringements caused by the Trialist`s use of the Service in conjunction with other equipment or software not supplied by BT, or to infringements occasioned by designs or specifications made by, or on behalf of, the Trialist. The Trialist will indemnify BT against all claims, proceedings and expenses arising from such infringements.

12.3 The limitations and exclusions of liability contained in clause 14 do not apply to this clause 12.3.

13. CONFIDENTIALITY

13.1 The parties will keep in confidence any information (whether written or oral) of a confidential nature (including software and manuals), obtained under this Trial Agreement (including, and without limitation, the nature and extent of the Service and BT equipment) and will not disclose that information to any person (other than in the case of BT, the Trialists of a BT Group Company or their suppliers who need to know the information), without the written consent of the other party.

13.2 This clause 13 will not apply to:

(a) any information which has been published other than through a breach of this Trial Agreement;

(b) information lawfully in the possession of the recipient before the disclosure under this Trial Agreement took place;

(c) information obtained from a third party who is free to disclose it; and

(d) information which a party is requested to disclose and, if it did not could be required by law to do so.

13.3 This clause 13 will remain in effect for 1 year after the termination of this Trial Agreement.

14. LIMITATION OF LIABILITY

14.1 BT accepts unlimited liability for death or personal injury resulting from its negligence. Clauses 14.2 and 14.3 do not apply to such liability.

14.2 BT is not liable to the Trialist, either in contract, tort (including negligence) or otherwise for direct or indirect loss of profits, business or anticipated savings, nor for any indirect or consequential loss or damage or for any destruction of data.

14.3 BT`s liability to the Trialist in contract, tort (including negligence) or otherwise in relation to this Trial Agreement is limited to £10,000 for any one incident or series of related incidents and to £20,000 for all incidents in any period of 12 months.

14.4 Each provision of this Trial Agreement, excluding or limiting liability, operates separately. If any part is held by a court to be unreasonable or inapplicable, the other parts shall continue to apply.

15. MATTERS BEYOND EITHER PARTIES` REASONABLE CONTROL

If either party is unable to perform any obligation including, but not limited to, under this Trial Agreement because of a matter beyond that party's reasonable control lightning, flood, exceptionally severe weather, fire, explosion, war, civil disorder, industrial disputes (whether or not involving that party's Trialists), or acts of local or central Government or other competent authorities or events beyond the reasonable control of that party's suppliers, the party will have no liability to the other for that failure to perform.

16. Termination BY NOTICE

16.1 BT will be entitled to terminate this Trial Agreement;

(a) summarily by notice to the Trialist in the event that the Trialist breaches any provision of this Trial Agreement;

(b) forthwith, if problems arise in connection with provision of the Service which causes financial loss to BT, or interference with BT's telecommunications network;

(c) at any time by giving no less than 14 days notice to the Trialist; and

(d) immediately if BT is directed by the DGT or any competent authority to cease the provision of the Service.

16.2 The Trialist will be entitled to terminate this Trial Agreement at any time on no less than 14 days written notice.

17. BREACHES OF THIS TRIAL AGREEMENT

17.1 Either party may terminate this Trial Agreement or the Service provided under it without notice if the other:

(a) commits a material breach of this Trial Agreement, which is capable of remedy, and fails to remedy the breach within a reasonable time of a written notice to do so; or

(b) commits a material breach of this Trial Agreement which cannot be remedied;

(c) is repeatedly in breach of this Trial Agreement; or

(d) is the subject of a bankruptcy order, or becomes insolvent, or makes any arrangement or composition with or assignment for the benefit of their creditors, or goes into voluntary (otherwise than for reconstruction or amalgamation), or compulsory liquidation or a receiver or administrator is appointed over their assets.

17.2 If any of the events detailed in 17.1 occur because of the Trialist, BT may suspend the Service without prejudice to its right to terminate this Trial Agreement.

17.3 If either party delays in acting upon a breach of this Trial Agreement that delay will not be regarded as a waiver of that breach. If either party waives a breach of this Trial Agreement that waiver is limited to that particular breach.

18. ASSIGNMENT

The Trialist is not allowed to transfer any part of this or attempt to transfer this Trial Agreement in whole or in part.

19. ENTIRE AGREEMENT

19.1 This Trial Agreement contains the whole agreement between the parties and supersedes all previous written or oral agreements relating to its subject matter.

19.2 The parties acknowledge and agree that:

(a) they have not been induced to enter into this Trial Agreement by any representation, warranty or other assurance not expressly incorporated into it; and

(b) in connection with this Trial Agreement their only rights and remedies in relation to any representation, warranty or other assurance are for breach of this Trial Agreement and that all other rights and remedies are excluded, except in the case of fraud.

20. Giving Notice

Any notice required by this Trial Agreement to be served by the Trialist or BT shall be sent to the other party`s address stated below:

I applied for this last night so I can see (& hear from a distance with a volume control) the wife & family, signed up my sister at the same time so 3 webcams & headsets for all of us.

I am going to have to control my facial reactions to her nagging now. :p

Only me still waiting to receive the webcam, everybody else got theirs last week (OK wife missed the Postman on Fri & had to wait until Monday, but thats her fault).

Mine was released on Friday apparently.
